Сотрудники SEC в ответном письме написали, что не разделяют данное мнение. Они сослались на руководство по анализу цифровых активов, которое выпущено в этом году, и тест Хауи.
Представители Комиссии по ценным бумагам и биржам отметили, что покупатели биткоина для получения прибыли вряд ли ориентируются на обязательные предпринимательские и управленческие усилия третьих лиц.

При этом она не соответствует определению “инвестиционной компании”, которое присутствует в соответствующем законе. Поэтому заявка по форме N-2 была подана ошибочно.
В случае, если биткоин был бы признан ценной бумагой, возникли бы серьёзные проблемы с массовой продажей. К тому же в случае с Cipher неизвестно, как будут решаться правовые вопросы и обеспечиваться защита инвесторов. Основываясь на этих доводах, SEC отказала Cipher в регистрации инвестиционной компании. Ей было предложено использовать альтернативные структуры.
